Reman Transmission Purchase Agreement
This is the complete agreement for an online remanufactured transmission purchase from Integrity Transmission & Drivetrain, including delivery, core return, warranty, installation and electronic consent.
Version 2026-09-04 • Effective September 4, 2026
1. Agreement, seller and order acceptance
This agreement is between the purchaser identified at checkout ("you") and Integrity Transmission & Drivetrain, Springfield, Missouri ("Integrity," "we," "us" or "our"). It applies to the VIN-matched remanufactured transmission, selected package, refundable core deposit, freight and related items displayed in the final Stripe Checkout order summary.
By checking the required boxes and continuing to payment, you confirm that you are at least 18 years old, have authority to make the purchase and agree to this version of the agreement. Your payment authorizes Integrity to begin final fitment and availability review. We accept the order when we confirm the application and release it for fulfillment. If we cannot accept the order, we will notify you and refund every amount paid.
The final checkout summary, this agreement and the written warranty for the selected package make up the contract. If they conflict, the checkout summary controls price and selected options; this agreement controls the retail sale, delivery and core return; and the applicable written warranty controls warranty coverage.
2. VIN, fitment and information you provide
A VIN narrows the application but may not identify every factory production split, calibration or prior vehicle change. Integrity rechecks the selected application, current price, availability and freight before opening payment and completes a final fitment review afterward. We will not knowingly ship a unit we cannot reasonably verify for the information supplied.
You must provide accurate VIN, year, make, model, engine, drive type, delivery address, mileage and contact information. You must also disclose known tuning, added power, tire-size changes, towing or plow use, drivetrain changes, missing or damaged core components, and any other condition that could affect fitment, package selection or warranty eligibility.
Respond promptly if we request a transmission tag, calibration code, photograph, measurement or installer detail. A material inaccuracy or omission can delay the order, require a different product or price, or affect warranty coverage when it causes the problem. We will obtain your approval before making a price or product change.
3. Price, payment, promotions and tax
Stripe Checkout itemizes the transmission, any promotion, refundable core deposit, freight, applicable tax and complete amount before payment. Payment is made to Integrity through Stripe. Integrity receives payment and order status but does not receive your complete payment-card number.
A promotion applies only when shown in the final checkout total and remains subject to its disclosed eligibility, dates and use limits. A promotion does not reduce the refundable core deposit unless the checkout summary expressly says it does.
Online checkout is for taxable retail purchases and does not process resale or exemption certificates. Tax is calculated where Integrity has an active collection obligation. If a refund changes the taxable amount, Integrity will make the corresponding tax adjustment required by law.
We do not treat a pending, failed, reversed or fraud-screened payment as cleared. We may pause fulfillment while a payment review is pending, but we will not keep payment for an order we decline.
4. Availability, shipment and delivery
Inventory and build estimates are current estimates, not guarantees. "In stock" means a finished unit appeared available when checked; it is not reserved until payment clears and final review is complete. A build estimate does not include carrier transit time.
If we state a shipping date or time, we will have a reasonable basis for that estimate. If no shipping time is stated, we will ship within 30 days after receiving a properly completed order or obtain your consent to a delay. If we cannot ship on time, we will provide a revised date when reasonably possible, explain when the date is uncertain, and give you a clear choice to accept the delay or cancel for a prompt refund. We will request renewed consent when required for an additional or indefinite delay.
The freight quote is based on the address, location type and services you select. Residential delivery, liftgate service, limited-access locations, redelivery, storage, address changes or an inaccurate location description can change the carrier charge. We will disclose and obtain approval for a known change before shipment, except for a documented carrier charge caused after shipment by your requested change, inaccurate information or failure to receive delivery.
If prepaid core-return freight is selected, the freight line includes outbound delivery and one return shipment using our instructions. With outbound-only freight, you arrange and pay for return of the core. Transit begins after shipment and can be affected by weather, carrier capacity and events outside reasonable control; delay rights described above still apply.
Inspect the shipment at delivery. Note visible damage on the carrier receipt before signing, keep the unit and packaging, take clear photographs and contact Integrity promptly. Failure to note visible damage may make a carrier claim harder, but it does not automatically waive a valid concealed-damage or product claim.
5. Refundable core deposit and return
The core deposit is security for return of the original transmission and is not the purchase price of the replacement unit. For a full core refund, the correct, complete original transmission must be shipped or tendered to the designated carrier within 30 calendar days after delivery, in the supplied reusable container, with the return authorization and shipping instructions we provide.
The core must be the application represented, reasonably assembled, drained as instructed and complete with the required case and reusable hard parts. A wrong, missing, incomplete, disassembled, fire-damaged, collision-damaged, externally broken or otherwise non-rebuildable core may receive reduced or no credit. Normal internal failure, ordinary wear and teardown performed with our prior written authorization are not by themselves grounds to deny credit.
The remanufacturer must receive and reasonably inspect the core before credit is approved. If credit is reduced or denied, Integrity will provide the decision and reason and, when reasonably available, supporting photographs or inspection details. Contact us within 10 calendar days if you dispute that determination so we can request review before the core is processed or disposed of.
After acceptance, Integrity will refund the approved core amount to the original payment method and adjust applicable tax. We will initiate the refund within seven business days after receiving the final acceptance determination. Stripe, the card network and your financial institution control the time required for the credit to appear.
If you disclose before purchase that no eligible core is available, checkout will not treat the deposit as automatically refundable. We will obtain your express approval of any different written core arrangement before releasing the order.
6. Changes, cancellations, returns and refunds
Contact Integrity immediately if order information is wrong. Before we place the supplier order, a customer-requested cancellation receives a full refund. If production, special configuration or shipment has begun, a convenience cancellation or return may require authorization and may be reduced by documented, nonrecoverable supplier charges, return freight or a disclosed restocking charge. We will tell you the applicable amount and obtain your approval before an authorized return proceeds.
A correct unit that has been installed, altered, disassembled without approval or damaged after delivery is not eligible for a convenience return. A unit that is defective, materially not as described or not the verified application is handled under the applicable warranty or legal remedy and is not treated as a convenience return.
If Integrity cannot supply the verified unit, the unit is discontinued, the selected package is unavailable, or the final written warranty materially differs from what checkout displayed and you do not accept an offered substitute, we will cancel and refund the full amount paid. Unless another deadline is required by law, we initiate an approved cancellation refund within seven business days.
7. Limited warranty and installation requirements
The checkout result identifies the warranty package included with the selected unit. For online reman orders, the product warranty is administered by ACE Transmission Remanufacturing unless the final checkout summary identifies a different warrantor. Integrity remains your retail seller and will help route a properly documented claim, but the warrantor's written terms control covered parts, duration, mileage, labor allowance, transferability, claim authorization and remedy.
Before purchase, review the selected package label and ACE's current official warranty publication. Depending on the package shown at checkout, current programs may include an 18-month/18,000-mile limited warranty or a three-year/unlimited-mile limited warranty with nationwide claim support. Coverage is not the same for every package. A website summary does not expand the written warranty.
The warranty is a limited warranty. No statement in this agreement disclaims an implied warranty that cannot lawfully be disclaimed or limited when a written warranty is provided. The duration of any implied warranty may be limited to the duration of the applicable written warranty only where the law allows. Some states give additional rights or do not allow particular limitations.
A qualified repair facility must install the transmission unless Integrity separately confirms local coordinated installation. Before startup and road use, the installer must follow every instruction delivered with the unit, including required cooler and line inspection or service, correct fluid and fill procedure, contamination control, torque-converter seating, electrical diagnosis, programming, calibration, adaptive relearn, verification and documentation.
You are responsible for selecting and paying your independent installer unless the checkout summary expressly includes installation. The installer is responsible for its workmanship. An installation error does not eliminate coverage for an unrelated covered product defect, but damage caused by incorrect installation, contamination, overheating, inadequate cooling, wrong fluid, missing programming or relearn, vehicle modifications, tuning, misuse, racing, collision, neglect or continued operation after a serious warning may be excluded under the written warranty.
Keep the invoice, VIN, mileage, installation date, fluid and cooler-service records, programming or relearn proof, diagnostic reports, photographs and maintenance records. These records help establish eligibility and cause.
8. Damage, warranty claims and limits
If a possible warranty problem develops, stop operating the vehicle when continued use could cause damage or create a safety risk. Contact Integrity or the identified warranty administrator before teardown, repair, replacement or disposal. Provide the VIN, mileage, symptoms, codes, fluid condition, installation records and requested diagnostic evidence. Emergency steps reasonably necessary to prevent injury or further damage are not prohibited, but preserve the parts and documentation.
Do not authorize a third party to disassemble or replace the unit until the warranty administrator approves the claim and procedure. Unauthorized work may be denied when it prevents verification, increases the loss or falls outside the written warranty. The warrantor may require inspection and may choose the covered repair, replacement or other remedy permitted by the warranty and law.
Except when the written warranty expressly includes them, and only to the extent applicable law permits, Integrity and the warrantor do not cover incidental or consequential losses such as towing, rental vehicles, lodging, lost time, lost profits or loss of use. This limitation does not apply to fraud, willful misconduct, gross negligence, personal injury, damage to other property where liability cannot be limited, or any right or remedy that cannot lawfully be waived.
Events outside a party's reasonable control may excuse performance for the duration of the event, but do not eliminate your right to a required delay notice, cancellation or refund. Nothing in this agreement requires you to waive a good-faith card dispute, regulator complaint or nonwaivable consumer remedy. Contacting Integrity first often allows the fastest investigation, but is not a condition to any right the law gives you.
9. Electronic records, signatures and communications
You consent to use electronic records and signatures for this transaction. Checking the required boxes and submitting the checkout request is your electronic signature. We associate that act with the name, email, VIN, checkout session, acceptance time, agreement version and digital fingerprint recorded for the order.
To transact electronically you need a current web browser, internet access, an active email address and software or device storage that can display and retain HTML pages and PDF files. You may print this page or save it using your browser. You may request a paper or electronic copy from Integrity at no charge.
You may withdraw electronic consent before completing payment by calling or emailing us, but online checkout cannot be completed without electronic consent. Withdrawal does not invalidate records or signatures already provided. Tell us promptly if your email or contact information changes.
You agree that we may send transaction, fitment, delivery, core-return, warranty, safety, fraud-prevention and customer-service communications by email, telephone or text using the contact information you provide. Consent to transactional texts does not enroll you in recurring marketing messages.
10. Privacy, law and general terms
Integrity handles order information under the Privacy Policy. Do not send complete payment-card numbers, passwords, Social Security numbers or unnecessary sensitive information by email, text or a website message.
Missouri law governs this agreement without displacing a consumer protection that applies to you and cannot be waived. Any court proceeding may be brought in a court with lawful jurisdiction; no venue term in this agreement prevents use of a small-claims court, regulator or other forum the law makes available.
If a provision is unenforceable, it will be limited only as much as needed and the rest remains effective. A delay in enforcing a provision is not a waiver. We may assign the agreement as part of a sale or reorganization of the business, but not in a way that reduces an accepted warranty or refund obligation. You may not transfer the purchase agreement without our consent, except that a warranty identified as transferable remains transferable under its written terms.
Changes to website policies do not retroactively alter the version accepted for your order unless you expressly agree to the change or the change gives you additional rights without adding an obligation. The version and fingerprint stored with the checkout record identify the controlling agreement.
